AGC Inc. (Tokyo, Japan) has entered into a share transfer agreement with Saint-Gobain K.K. (Tokyo, Japan), the Japanese subsidiary of Compagnie de Saint-Gobain S.A. (Courbevoie, France). Under the agreement, AGC will transfer all of its shares in AGC Polymer Material Co., Ltd. (APK; Tokyo, Japan), a consolidated subsidiary in which AGC holds a 50.72% stake, to Saint-Gobain K.K. (Tokyo, Japan). The transaction is expected to close in or around December 2026, subject to regulatory approvals and other closing conditions.
Under its medium-term regulation plan AGC plus-2026, the AGC Group is pursuing business portfolio transformation. After careful consideration of the future development and research of APK, whose core business is the manufacturing and sale of polyurethane waterproofing materials to buildings, AGC concluded that becoming part of Saint-Gobain K.K., which has a broad portfolio of construction materials businesses, would provide the best opportunity to APK to further enhance its future development and research.
The financial impact of this transaction on AGC’s consolidated results is expected to be minimal.
