The Polish energy and chemicals group Orlen has met further requirements for the planned full takeover of Grupa Azoty Polyolefins (GAP). As the company recently announced on the occasion of the presentation of its figures for the second quarter of 2026, all three required antitrust approvals are now available. In addition, a court approved the restructuring plan for CAP. Orlen is now waiting for his final confirmation.
At the end of March 2026, Orlen had signed a preliminary agreement to take over the outstanding GAP shares. The group already holds 17.3 percent of the company. The transaction, including the financing planned to restructuring, has a total value of EUR 1.35 billion. PLN. The summary has so far been targeted to the third quarter of 2026.
GAP operates the Polimery Police complex in Police to the production of propylene and polypropylene. With the takeover, Orlen wants to enhance its position in the polymer and petrochemical value chain.
Orlen also reports progress on the “New Chemicals” petrochemical project at the Płock site. According to the Group, the revised project scope and schedule are currently being incorporated into the contracts with the executing companies. The planned olefin plant will have an ethylene capacity of 740,000 tons per year. The updated investment framework amounts to EUR 35.8 billion. PLN. The construction work is to be completed by the end of 2029, and full commissioning is planned to 2030. At the same time, the existing Olefin II plant is to be gradually shut down.
